Any natural person who applies.
A person is eligible to become a member if they are a natural person (not a company or organisation) and have applied and been approved for membership in accordance with Clause 3 of the constitution.
Membership of KC Foundation Incorporated is open to any natural person who applies and is approved by the committee. As a member, you are part of an incorporated association committed to healthcare access and community empowerment in Australia and Nepal.
Membership entitles you to attend and vote at general meetings, stand for election to the committee, and inspect the association's records — all governed by our constitution approved 15 December 2025.
Membership eligibility is defined in Part 2 of the KC Foundation constitution (Clause 2). The requirements are straightforward and inclusive.
A person is eligible to become a member if they are a natural person (not a company or organisation) and have applied and been approved for membership in accordance with Clause 3 of the constitution.
A person is taken to be a member if they were a member of a prior unincorporated body, an amalgamating association, or a registrable corporation that became the association immediately before registration.
Any individual on whose behalf an application for registration of the association was made is automatically taken to be a member of the association.
The membership application process is set out in Clause 3 of the constitution. Here is what to expect from application through to registration.
Complete a written application (including by email or other electronic means) in the form determined by the committee. Lodge it with the Secretary of the association.
As soon as practicable, the secretary refers your application to the committee, which determines whether to approve or reject it.
You will be notified in writing of the outcome. If approved, you must pay the entrance fee and first annual subscription within 28 days of notification.
Upon payment, the secretary enters your name in the Register of Members. From this date, you are officially a member of KC Foundation Incorporated.
Applications must be in writing (email accepted). Contact our secretary at info@kcfoundation.org.au to receive the current membership application form and fee schedule.
Under Clause 3(5) of the constitution, the committee may at any time establish different types of membership and prescribe the qualifications, rights, and privileges of each class.
If a new class of membership is established, its qualifications, rights, and privileges must be approved by ordinary resolution of the existing members at a general meeting.
Contact the secretary for current information on active membership types and their associated fees and entitlements.
Under Clause 8 of the constitution, fees are determined by the committee and are subject to change. Contact the secretary for current fee information.
A one-time entrance fee is payable on admission to membership. The amount is determined by the committee.
Set by CommitteeAn annual membership fee is payable in addition to the entrance fee. The Membership Year runs 1 July to 30 June.
Set by CommitteeOn approval, fees must be paid within 28 days of receiving the committee's notification of approval.
28 Days to PayMembership ceases if the annual fee is not paid within 3 months of the due date (Clause 4(d)).
3-Month Grace PeriodClause 7 of the constitution sets out how the Register of Members must be maintained, inspected, and protected.
The secretary must maintain a written or electronic register showing each member’s name, postal, residential or email address, and the date the person became a member.
The register must be kept in South Australia and be available for inspection free of charge by any member at any reasonable hour. Copies may be requested on payment of a committee-set fee.
Members may request that information other than their name not be available for inspection, and register information cannot be used for unrelated contact or material distribution.
Under Clause 4 and Clause 6 of the constitution, membership may cease in several ways. All membership rights and obligations are personal and non-transferable.
A member may resign by giving the secretary at least 1 month's written notice (or any other period the committee determines) of their intention to resign. Membership ceases on expiry of the notice period.
Membership ceases automatically if the annual membership fee is not paid within 3 months after it falls due. No further action by the committee is required.
A member may be expelled by committee resolution following a formal complaint, a 28-day period for the member to respond, and consideration of any submissions. The member has the right to appeal to a general meeting within 28 days.
Under Clause 5 of the constitution, any right, privilege, or obligation arising from membership is not capable of being transferred or transmitted to another person. All entitlements terminate on cessation of membership.
The dispute resolution procedure applies to disputes between a member and another member, between a member and members, and between member(s) and the association — under Clause 10 of the constitution. The term "member" includes any person who was a member within the last six months before the dispute occurred.
The parties must meet and discuss the matter in dispute and, if possible, resolve it within 14 days after the dispute comes to the attention of all parties. If they cannot resolve it at that meeting, they may choose to meet before an independent responsible person agreed to by both parties.
Under Section 40 of the Act, where the committee exercises any power of adjudication in relation to a dispute between members (or between itself and members), the rules of natural justice must be observed — meaning all parties are heard fairly.
Under Section 61 of the Act, a member or former member (expelled within the last six months) who believes the association's affairs are being conducted in an oppressive or unreasonable manner may apply to the Court for an order.
A complaint may be lodged if a member refuses to comply with the constitution or wilfully acts in a way that is prejudicial to the association.
The committee must serve notice of the complaint and give the member at least 28 days to make submissions before any disciplinary decision is taken.
If the committee resolves to expel or suspend the member, the member may appeal within 28 days, and the matter is decided by members through a secret ballot at a general meeting.
